Are You a PSC? Then This Applies to You Too

Many shareholders and investors don't realize they qualify as a Person with Significant Control — and therefore face the same Companies House identity verification requirement as directors, on a deadline calculated in a way most people never expect.

Do You Actually Qualify as a PSC?

A PSC is broadly anyone who owns, directly or indirectly, more than 25 percent of a company's shares or voting rights, holds the right to appoint or remove a majority of the board, or otherwise exercises significant influence or control over the company. These are separate tests, and a person can meet more than one — you do not need to be involved in day-to-day management to qualify, just to hold that level of ownership or control.

Your Deadline Is Based on Your Birthday, Not the Company's Filing Date

This is the detail that catches people off guard. Where a PSC is not also a director, their compliance window is based on their date of birth as recorded on the Companies House register: the 14-day verification period begins on the first day of their birth month. A PSC whose birthday falls on 22 January has a 14-day compliance window beginning 1 January — not tied to any company filing date at all. If you are a PSC who is also a director of the same company, the calculation is different again: your director code goes through the company's confirmation statement, but your separate PSC action must still be completed within 14 days starting the day after that confirmation statement date, and filing early does not move that 14-day window forward.

One Identity, Potentially Multiple Obligations

Verifying your identity once satisfies the identity check itself, but it does not automatically complete every compliance requirement attached to every role you hold. A director who is also a PSC of the same company has a director obligation and a separate PSC obligation, each with its own trigger point — both need to be actively completed, not just the first one you happen to do.
