What Is a Settlement Agreement?

A settlement agreement (formerly called a compromise agreement) is a legally binding contract between you and your employer. In exchange for a financial payment, you agree to waive your employment rights — including the right to bring claims at an employment tribunal. Once signed, it is final and binding. Understanding what you're agreeing to before you sign is essential.

When Are They Used?

Settlement agreements are used in a range of situations — redundancy, performance management, disciplinary proceedings, or simply when an employer wants to end an employment relationship cleanly and quickly. They are increasingly common and are not inherently a sign that something has gone wrong.

The Independent Legal Advice Requirement

A settlement agreement is only legally valid if you have received independent legal advice from a qualified adviser — typically a solicitor — about the terms and effect of the agreement. Your employer will usually contribute to the cost of this advice, typically £250–£500 plus VAT. This is not optional — without it, the agreement is unenforceable.

What to Check Before Signing

Read the agreement carefully, particularly: the scope of the claims you're waiving (it should be specific, not a blanket waiver of all possible claims), the tax treatment of the payment (the first £30,000 is generally tax-free), any post-termination restrictions (non-compete, non-solicitation clauses), the reference wording, and any conditions attached to the payment.

What Is Negotiable?

More than most people realise. The financial payment, notice period, departure date, reference wording, post-termination restrictions, continuation of benefits, and the treatment of share options or equity are all potentially negotiable. The first offer is rarely the final offer.

The Time Pressure Trap

Employers sometimes create artificial urgency around settlement agreements. You are not obliged to sign immediately. Take the full time available to you, get proper legal advice, and negotiate if the terms aren't right.
